1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the website and services of Desra Group, LLC (“Desra Group,” “we,” “us,” or “our”). By accessing or using our website or services, you agree to be bound by these Terms.

2. Services

Desra Group provides government services, advisory, and professional services across its divisions. Specific services, deliverables, fees, and obligations are governed by a separate written agreement between Desra Group and the client.

3. Use of the Website

You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of, or restrict the use of, this website by any third party. You may not attempt to gain unauthorized access, interfere with operations, or use the website to transmit harmful code.

4. Intellectual Property

All content on this website, including text, graphics, logos, and the Desra Group name and marks, is the property of Desra Group, LLC or its licensors and is protected by United States and international intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

5. Confidentiality

Information shared in the course of a client engagement is governed by the confidentiality terms of the applicable services agreement. Communications through this website are not, by themselves, considered confidential or privileged.

6. No Professional Advice

Content on this website is provided for general informational purposes only and does not constitute legal, regulatory, or professional advice. You should not act upon information from this site without obtaining advice tailored to your specific circumstances.

7. Disclaimer of Warranties

The website and its content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the fullest extent permitted by law, Desra Group, its affiliates, and personnel shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the website.

9. Indemnification

You agree to indemnify and hold harmless Desra Group and its affiliates from any claims, damages, or expenses arising from your use of the website or violation of these Terms.

10. The Dalton Society and Sponsor-Specific Terms

The Dalton Society is a mentorship and leadership-development program founded by Dalton Young and currently being established as an independent nonprofit organization. Until that transition is complete, program operations are administered with support from Desra Group, LLC, a Founding Corporate Partner. Application to and participation in The Dalton Society, and any corporate or community partnership or contribution, are governed by the Dalton Society Program Terms and Parent/Guardian Consent, the Dalton Society Partner and Sponsor Terms, and any program-specific forms presented at the time of application or partnership, each set out below. To the extent of a conflict, those program-specific terms control over these general Terms. Federal tax-exempt status has not yet been granted, and no payment or contribution should be represented as a tax-deductible charitable donation.

11. Dalton Society Program Terms and Parent/Guardian Consent

Program scope and no promised outcome. The Dalton Society is a private mentorship and leadership-development experience. It may include small-cohort conversations, CEO-led forums, guest-leader discussions, professional exposure, parent communication, and other activities selected by Desra Group. The Society is not child care, therapy, crisis counseling, medical or mental-health treatment, tutoring, test preparation, college-admissions consulting, military recruitment, employment or internship placement, security-clearance support, or a guarantee of any academic, college, scholarship, employment, career, financial, or personal outcome.

Parent/guardian authority and application. By submitting an application for a participant under the age of 18, the applicant represents and warrants that they are the participant’s parent or legal guardian and have legal authority to enter these terms, provide the information submitted, and consent to the participant’s involvement. The applicant must promptly notify us if that authority changes or if submitted information becomes materially inaccurate.

Selective admission; tuition-free participation. Admission is selective. Four cohorts are selected each year, with one cohort active at a time, and each cohort is limited to approximately 20 Fellows for a 12-week program. Submitting an application does not guarantee admission. Participation is tuition-free for accepted Fellows and is made possible by corporate and community partners; we do not charge participants or families a membership fee, tuition, or installment payments. Placement is not transferable, and we may require onboarding information and a parent/student introductory conversation before assigning a cohort start date.

Program changes, suspension, and removal. Desra Group may reasonably change program format, dates, guest leaders, locations, or delivery methods to protect participants, comply with law, respond to safety concerns, or improve delivery. Desra Group may suspend or end a participant’s involvement for material breach of these terms, false information, harassment, discrimination, threats, unsafe or unlawful conduct, conduct that materially disrupts the program, or a safety concern. A suspension or removal does not create a right to a refund except where required by law or expressly agreed in writing.

Parent and participant conduct. Participants and parents/guardians must treat other participants, families, staff, guest leaders, and partners with respect. Harassment, bullying, discrimination, threats, intimidation, sexually inappropriate conduct, violence, unlawful activity, sharing another person’s private information, recording others without authorization, and disruption of program activities are prohibited. Parents and guardians should communicate any material safety, accessibility, or participation issue that requires reasonable planning, and should not provide unnecessary medical or other sensitive information through ordinary website forms.

Safety, emergency, and reporting limits. The Society is not an emergency, medical, mental-health, or crisis service. In an emergency, call 911 or contact the appropriate emergency or crisis service. Desra Group may contact a parent/guardian, emergency contact, emergency services, law enforcement, or another appropriate authority when it reasonably believes doing so is necessary to address an immediate safety concern or comply with law. Communications cannot be promised to remain confidential when disclosure is reasonably necessary to address safety concerns, comply with legal duties, or respond to legal process. Florida law may require immediate reporting of known or reasonably suspected child abuse, abandonment, neglect, or sexual abuse.

In-person activities, transportation, and travel. Unless we expressly agree otherwise in writing, parents/guardians remain responsible for participant transportation, supervision outside scheduled program activities, travel, lodging, meals, and any costs not expressly included in the program description. Any in-person event, off-site activity, transportation arrangement, or closing and recognition event may require a separate activity acknowledgement, emergency-contact form, and, where appropriate, a separate release.

Guest leaders, partners, and professional exposure. Guest leaders and community partners may share general professional perspectives and may host or contribute to experiences selected by Desra Group. Their participation does not create an employment, internship, recruitment, mentoring, fiduciary, or other professional relationship with a participant. The Society does not promise participant access to any particular guest leader, employer, partner, position, credential, clearance, contract, internship, or opportunity.

Intellectual property, recordings, and publicity. Desra Group owns or licenses the Society’s curriculum, name, logo, materials, recordings, and other content. Parents and participants may use materials solely for personal participation and may not reproduce, publish, sell, or distribute them without permission. Participants and parents may not record Society sessions, conversations, or other participants without Desra Group’s prior written permission and all required consents. Permission to use a participant’s name, likeness, voice, photograph, video, quote, or work for marketing is handled through a separate, optional media release, not through enrollment.

Privacy and communications. We process parent and participant information as described in our Privacy Policy, including its Dalton Society section. Parents/guardians may receive operational communications about applications, safety, scheduling, and program participation. Marketing emails and text messages require a separate, non-prechecked opt-in and include an unsubscribe or STOP mechanism.

Limitation of liability. To the fullest extent permitted by law, Desra Group and its owners, employees, contractors, guest leaders, and partners are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Society. Nothing in these terms excludes liability that cannot lawfully be excluded.

12. Dalton Society Partner and Sponsor Terms

Not a charitable donation at this time. The Dalton Society is currently being established as an independent nonprofit organization, and federal tax-exempt status has not yet been granted. Partnership and sponsorship support is a commercial sponsorship and recognition relationship, is not a charitable donation, and must not be represented or claimed as a tax-deductible charitable contribution. Sponsors should consult their own tax advisers.

Term and recognition. The annual partnership amount is the amount confirmed in writing. The term begins on the date support is received and continues for 12 months unless a written confirmation states otherwise. Included recognition is limited to the items specifically stated in that written confirmation, and we may adjust the format, timing, placement, or channel of recognition in a commercially reasonable manner provided the overall benefit remains materially consistent.

Recognition and use of sponsor marks. The sponsor grants us a limited, nonexclusive, revocable license during the term to use the sponsor’s approved name, logo, and brand assets solely to identify the sponsor in Society communications, the Society website, selected LinkedIn communications, and the closing and recognition events in Orlando. The sponsor represents that it has the rights necessary to grant this permission. We may refuse or remove sponsor materials that are misleading, unlawful, offensive, unsafe, or inconsistent with the Society’s standards.

No endorsement, exclusivity, or guaranteed results. A sponsor may accurately state that it is an annual partner of The Dalton Society during the term, subject to our brand-use guidelines. Partnership does not create an endorsement by The Dalton Society, Desra Group, parents, participants, guest leaders, community partners, or any university, government entity, or other third party, and does not include category exclusivity, guaranteed impressions, leads, sales, recruitment opportunities, media coverage, or return on investment unless a written agreement expressly says otherwise.

No access to participant or family data; no recruiting rights. Sponsors do not receive student, participant, parent, guardian, applicant, or family personal information; participant applications; attendance records; contact lists; recordings; or access to private Society communications. Partnership confers no right to recruit, market to, contact, profile, surveil, interview, employ, or otherwise engage participants. Any guest-leader or experience-host role must be separately approved and does not change these restrictions.

Use of support. Partner support funds mentorship delivery, program operations, guest-leader and experience costs, materials, and the closing and recognition events so that accepted Fellows may participate without tuition. Support does not purchase admission, influence over admissions decisions, or any placement for a specific student.

Sponsor conduct and compliance. Sponsors must comply with applicable law and may not use the Society or partnership to make deceptive claims, imply governmental, university, or participant endorsement, solicit personal information from participants, or engage in conduct that undermines participant safety or the Society’s standards. We may suspend recognition or terminate the partnership for material breach, unlawful conduct, reputational risk, or a safety concern.

Cancellation and liability. Partnership amounts are nonrefundable after payment except where required by law or where we terminate the partnership without cause before providing any material recognition benefit. To the fullest extent permitted by law, aggregate liability relating to a partnership shall not exceed the amount actually paid for the applicable term, and we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost opportunities, or reputational harm.

13. Acceptance at Application and Partnership

Before submitting a Dalton Society application, the parent or legal guardian must affirmatively accept the following:

  • I certify that I am the parent or legal guardian of the participant and have authority to apply on their behalf to The Dalton Society.
  • I have read and agree to the Dalton Society Program Terms and Parent/Guardian Consent and the Privacy Policy.
  • I understand that The Dalton Society is a mentorship and leadership-development experience, not therapy, tutoring, crisis counseling, college-admissions consulting, military recruitment, job placement, or a guarantee of academic, college, employment, scholarship, or career outcomes.
  • I understand that admission is selective, that each cohort is limited to approximately 20 Fellows and runs for 12 weeks, that submitting an application does not guarantee admission, and that participation is tuition-free for accepted Fellows.
  • I agree to provide accurate application information and to complete required onboarding if admitted.
  • Partners and sponsors: I certify that I am authorized to bind the organization, agree to the Partner and Sponsor Terms and Privacy Policy, understand that The Dalton Society is not yet a recognized 501(c)(3) and that support is not a tax-deductible charitable donation, authorize limited use of our approved name and logo for recognition, and understand that partnership provides no access to participant or family personal information, recruiting rights, exclusivity, guaranteed impressions, or guaranteed business results.
  • Marketing email, text-message, and participant publicity permissions are separate, optional, and never pre-selected. Photo, video, and likeness use for minors requires a separate written media release, which may be withdrawn for future use at any time.

14. Governing Law

These Terms, including the Dalton Society Program Terms and Sponsor Terms, are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the website shall be brought exclusively in the state or federal courts located in Orange County, Florida, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may modify these Terms at any time by posting the revised version on this page. Your continued use of the website after changes are posted constitutes your acceptance of the revised Terms. For program and sponsor purchases, the version accepted at checkout governs that purchase.
